1. Scope
These Terms of Use apply without restriction or reservation to any use of the "HUBFEED" application hosted at https://hubfeed.io (hereinafter, the "Platform") published by AEGIS TECHNOLOGIES, a simplified joint-stock company (societe par actions simplifiee) with a share capital of 48,000 euros, whose registered office is located at 12 rue de la Part Dieu - 69003 Lyon, registered with the Lyon Trade and Companies Register under number 921 440 319 (hereinafter, "AEGIS TECHNOLOGIES").

The Platform allows individual or professional internet users (hereinafter, the "Users") to cross-reference data published on various online sources in order to monitor, manage, and/or visualize them more easily through a number of features (hereinafter, the "Features").
The relationship between AEGIS TECHNOLOGIES and the User is strictly limited to making the Platform and Features available.
It is specified that the main function of the Platform is to provide a modeling of data collected from online sources hosted and managed by third parties. As such, the User understands and acknowledges that they are solely responsible for the sources they choose, for the use of aggregated data on the Platform, and more generally for any use they make of the Platform. Accordingly, AEGIS TECHNOLOGIES cannot be held liable in this regard.
Furthermore, AEGIS TECHNOLOGIES offers different plans, free or paid, presented on the Platform. These Terms apply exclusively to free plans.
These general conditions define the terms and conditions of use of the Platform (hereinafter the "TOU").
They are accessible and printable at any time via a direct link at the bottom of the Platform pages.
In any event, Users acknowledge that they are obligated to comply with these Terms of Use.
2. Application of the TOU
The TOU prevail over any other general or specific conditions not expressly approved by AEGIS TECHNOLOGIES.
The fact that AEGIS TECHNOLOGIES does not invoke any of the provisions of the TOU at a given time shall not be interpreted as a waiver of the right to invoke any of said provisions at a later date.
The invalidity of a contractual clause does not render the TOU invalid. The temporary or permanent non-application of one or more clauses of the TOU by AEGIS TECHNOLOGIES shall not constitute a waiver of the other clauses of the TOU, which shall continue to have effect.
3. Acceptance and modification of the TOU
Acceptance of the TOU by the User is evidenced by a checkbox on the Platform. This acceptance can only be full and complete. Any conditional acceptance is considered null and void. A User who does not accept to be bound by the TOU must not use the Features.
AEGIS TECHNOLOGIES reserves the right, at any time, to refuse access to the Platform and Features to any User who does not comply with the TOU.
The User is informed that the TOU may be modified at any time, unilaterally by AEGIS TECHNOLOGIES, in particular to comply with any legal, regulatory, case law, editorial, and/or technical developments.
AEGIS TECHNOLOGIES undertakes to inform the User of any modifications to the TOU by email before said modification comes into effect, as well as to inform them of the effective date of the new TOU.
4. Registration
Access to the Features requires the User to register on the Platform by completing the form provided for this purpose.
In all cases, the User must provide all information marked as mandatory. Any incomplete registration will not be validated.
Registration automatically results in the opening of an account in the User's name (hereinafter, the "Account"), giving them access to a personal space (hereinafter, the "Personal Space") that allows them to manage the Features in the form and by the technical means that AEGIS TECHNOLOGIES deems most appropriate.
The User warrants that all information provided in the registration form is accurate, up-to-date, and truthful and is not misleading in any way.
The User undertakes to update this information in their Personal Space in the event of changes, so that it always corresponds to the above criteria.
The User is informed and accepts that the information entered for the purposes of creating or updating their Account shall constitute proof of their identity. The information entered by the User is binding upon validation.
The User can access their Personal Space at any time after identifying themselves using their login credentials and password.
The User undertakes to use their Account personally and not to allow any third party to use it in their place or on their behalf, failing which they shall bear full responsibility.
The User is likewise responsible for maintaining the confidentiality of their login credentials and password, as any access to the Application using said credentials is deemed to have been made by the User. The User must immediately contact AEGIS TECHNOLOGIES at the contact details mentioned in Article 1 if they notice that their Account has been used without their knowledge. They acknowledge AEGIS TECHNOLOGIES' right to take all appropriate measures in such cases.
5. Provision of the Platform
5.1. Terms of provision
The User acknowledges that in order to fully benefit from the Features, they must use the Platform. They therefore declare that they have taken all necessary measures to be able to use it, particularly from a technical and practical standpoint. Accordingly, the User selects their own operators and Internet access providers. They assume full responsibility in this regard for their choice and any failure on the part of said providers.
This provision is made through remote access, to enable the processing on the AEGIS TECHNOLOGIES server of data transmitted by the User. As the related software remains on the AEGIS TECHNOLOGIES server, no software media are delivered; provision is effected by providing the User with their login credentials.
From the time of registration on the Platform, AEGIS TECHNOLOGIES makes the Platform Features available to the User. These Features are accessible by the User at all times, except during intervention and maintenance periods.
Under these TOU, the User has a right to use the Platform Features that is personal, non-exclusive, non-transferable, and limited to the duration of their registration.
In particular, the User is strictly prohibited from:
- reproducing or representing the Platform or its documentation in any form, or altering or concealing in any way the trademarks, distinctive signs, or copyright notices displayed on the Platform;
- intervening on the Platform in any way and for any reason, including to correct errors, as evolutionary and corrective maintenance is provided by AEGIS TECHNOLOGIES;
- modifying or attempting to circumvent any protection mechanism of the Platform.
5.2. Features
The User acknowledges that the mission of AEGIS TECHNOLOGIES is limited to making the Platform and its features available.
The User's objectives are their own and depend exclusively on their own involvement and investment in using the Features.
6. Platform maintenance
AEGIS TECHNOLOGIES shall take it upon itself to carry out corrective maintenance interventions in a manner that does not prevent or hinder access to the Platform.
Access to the Platform may be suspended due to maintenance interventions necessary for the proper functioning of the Platform.
7. Suspension and deletion of access
7.1. Suspension of access
AEGIS TECHNOLOGIES may suspend a User's access to the Platform if the User fails to comply with the TOU, as applicable.
If the User so wishes, they will always be able to clarify the facts or circumstances that led to the suspension.
If, following this discussion, AEGIS TECHNOLOGIES determines that the suspension is not an appropriate solution, AEGIS TECHNOLOGIES will restore the User's access to the Platform.
7.2. Deletion of access
In the event of a breach by the User of their obligations under the TOU, AEGIS TECHNOLOGIES may delete the User's access to the Features, fourteen (14) days after a formal notice by email, which has remained unsuccessful, to remedy the contractual breach(es).
Deletion may be immediate and without notice in the following cases:
- The User seriously, severely, or repeatedly breaches said obligations and the breach is not capable of being remedied or is not remedied within fourteen (14) days of the notification sent to them;
- AEGIS TECHNOLOGIES is bound by a legal or regulatory obligation to delete the User's account.
7.3. User deregistration
The User may deregister from the Platform at any time by sending a request to AEGIS TECHNOLOGIES by email at the contact details mentioned in Article 1.
Deregistration is effective within a maximum period of 7 (seven) days from the date of the request. It results in the automatic deletion of the Account.
8. Conditions of access to the Platform
The Platform is accessible to all internet users in principle 24/7, except for interruptions, scheduled or otherwise, by AEGIS TECHNOLOGIES or its service providers, for maintenance and/or security purposes, or in cases of force majeure or Platform updates. AEGIS TECHNOLOGIES cannot be held liable for any damage of any nature resulting from the unavailability of the Platform.
AEGIS TECHNOLOGIES does not guarantee that the Platform will be free of anomalies, errors, or bugs, or that the Platform will operate without failure or interruption. It may freely determine, at its sole discretion, any period of unavailability of the Platform or its content. AEGIS TECHNOLOGIES also cannot be held liable for data transmission problems, connection issues, or network unavailability.
Every User declares that they are informed that, in order to access the Platform, they must have Internet access, subscribed via a subscription with the provider of their choice, the cost of which is at their expense, and acknowledges that:
- the reliability of transmissions is unpredictable, due in particular to the heterogeneous nature of the infrastructures and networks over which they travel, and that, in particular, outages or congestion may occur;
- it is their responsibility to take any measures they deem appropriate to ensure the security of their equipment and their own data, software, or other items, in particular against contamination by any virus and/or intrusion attempts to which they may be subject;
- any equipment connected to the Platform is and remains under the full responsibility of the User; AEGIS TECHNOLOGIES cannot be held liable for any direct or indirect damage that the User may suffer as a result.
9. Platform availability
AEGIS TECHNOLOGIES undertakes to use all means at its disposal to maintain the availability of the Platform.
However, access to the Platform may be interrupted at the initiative of AEGIS TECHNOLOGIES or its service providers responsible for the implementation and hosting of the Platform for maintenance reasons or any other technical reason. In these specific cases of interruption, AEGIS TECHNOLOGIES will endeavor to inform the user in advance and to limit the duration of the interruption.
AEGIS TECHNOLOGIES also reserves the right to interrupt access to the Platform, without incurring any liability, in particular:
- in the event of an attack on the Platform (viruses, malicious intrusions, etc.) likely to affect the capacity, security, and integrity of the processing or data;
- in the event of a request for suspension or restriction of access to the Platform made by an administrative or judicial authority or a formal notice from a third party.
Under no circumstances shall AEGIS TECHNOLOGIES be held liable for damages resulting from access to or use of the Platform. AEGIS TECHNOLOGIES therefore disclaims all liability:
- in the event of inaccuracy, error, alteration, omission, or delay in updating information available on the Platform;
- in the event of unavailability of information;
- for any direct or indirect damages, whatever their causes, origins, nature, or consequences, caused by anyone's access to the Platform or inability to access it;
- in the event of the presence of viruses on the Platform. It is the user's responsibility to take all appropriate measures to protect their own data and/or software from contamination by any viruses circulating through the Platform.
10. Intellectual property
Any use, reproduction, copying, or distribution of one or more elements of the Platform for purposes other than private use is prohibited. It is specified that for professional Users, private use means any use internal to the User's legal entity.
All content and Features of the Platform, including but not limited to the domain name, texts, graphic charter, graphics, photographs, drawings, sounds, images, audio and video, as well as the site architecture, navigation plan, design and organization of its sections, their titles, existing or future, are protected by intellectual property rights held or claimed by AEGIS TECHNOLOGIES, with the authorization of the holders of those rights.
AEGIS TECHNOLOGIES grants every User a non-exclusive, personal, and non-transferable right to use the Platform and Features for their sole needs. This right is granted for the duration of use of the Platform. This grant of rights does not entail the transfer of any intellectual property rights to the User.
Consequently, every User is prohibited from reproducing in any form whatsoever, directly or indirectly, the elements referred to in the preceding paragraphs, as well as from altering the trademarks, patents, names, acronyms, logos, colors, graphics, or other signs appearing on the elements made available by AEGIS TECHNOLOGIES, and more generally from using or exploiting these elements.
11. User conduct
The User declares and acknowledges that all information, data, texts, messages, or any other content that they publish on the Platform (hereinafter, the "Contributions") is published under their full and sole responsibility.
The User undertakes not to publish Contributions that are contrary to applicable laws and regulations.
In particular, the User shall refrain from:
- disseminating information contrary to public order or morality;
- diverting the purpose of the Platform for propaganda or proselytism, solicitation, or canvassing;
- disseminating Contributions that infringe on the personality rights of third parties or that are defamatory, insulting, obscene, pornographic, offensive, violent, or incite discrimination, political violence, racism, xenophobia, sexism, or homophobia;
- harassing in any way one or more other Users;
- publishing information that contravenes personal data protection legislation enabling the identification of natural persons without their consent, including their surname, postal and/or email address, telephone number, photograph, audio or audiovisual recording, or collecting and storing personal data pertaining to other Users;
- fraudulently accessing the Platform;
- transmitting any message containing computer viruses or any other code, file, or program designed in particular to interrupt, destroy, or limit the functionality of any software, computer, or telecommunications tool;
- providing information linking to other websites (whether by creating hyperlinks or by simply providing information) whose content could potentially violate any applicable law or regulation, and in particular could infringe on the rights of individuals and property and/or intellectual property rights.
The User is also prohibited from infringing on the intellectual property rights of third parties.
The User undertakes to comply with applicable laws and regulations and to only use content for which they hold the rights, or for which the rights holder has given their express consent for distribution, or which are free of any rights.
The User undertakes, where applicable, to indemnify AEGIS TECHNOLOGIES for any loss directly or indirectly related to the failure to comply with this warranty.
Any User who violates the provisions of the TOU is liable to applicable civil and criminal proceedings.
12. Personal data and telephone solicitation opt-out list
12.1. Personal data
When the User registers on the Platform, their personal data is collected by AEGIS TECHNOLOGIES under the conditions described in the privacy policy.
It is specified that the User's personal data is transferred to professionals registered on the Platform who are domain professionals in order to enable them to comply with their legal obligations, which the User accepts.
12.2. Telephone solicitation opt-out list
Users have the option of registering free of charge on the BLOCTEL telephone solicitation opt-out list (https://www.bloctel.gouv.fr/) in order to no longer be solicited by telephone by a professional with whom they do not have an ongoing contractual relationship, in accordance with Law No. 2014-344 of March 17, 2014 relating to consumer affairs.
13. Advertising
AEGIS TECHNOLOGIES reserves the right to insert on any page of the Platform and in any communication any advertising or promotional messages in a form and under conditions of which AEGIS TECHNOLOGIES shall be the sole judge.
14. Hyperlinks and third-party sites
AEGIS TECHNOLOGIES cannot under any circumstances be held liable for the technical availability of websites or mobile applications operated by third parties (including its potential partners) that the User may access via hyperlinks on the Platform.
AEGIS TECHNOLOGIES assumes no responsibility for the content, advertising, products, and/or services available on such third-party websites and mobile applications, which are governed by their own terms of use.
AEGIS TECHNOLOGIES is also not responsible for transactions between the User and any advertiser, professional, or merchant (including its potential partners) to whom the User may be directed through the Platform and shall under no circumstances be a party to any disputes with such third parties concerning, in particular, the delivery of products and/or Features, warranties, representations, and any other obligations to which such third parties are bound.

The TOU are governed by French law.
