Terms of Sale (CGV)

Effective date: January 1, 2026

1. Purpose

These Terms of Sale (hereinafter the "TOS") apply without restriction or reservation to the subscription of any paid subscription (hereinafter, the "Subscription") offered by AEGIS TECHNOLOGIES, a simplified joint-stock company (societe par actions simplifiee) with a share capital of 48,000 euros, whose registered office is located at 12 rue de la Part Dieu - 69003 Lyon, registered with the Lyon Trade and Companies Register under number 921 440 319 (hereinafter, "AEGIS TECHNOLOGIES"), on the "HUBFEED" application hosted at https://hubfeed.io (hereinafter, the "Platform").

AEGIS TECHNOLOGIES can be contacted at the following details, in particular for any complaint:

The Platform allows individual or professional subscribers (hereinafter, the "Subscribers") to cross-reference data published on various online sources in order to monitor, manage, and/or visualize them more easily through a number of features (hereinafter, the "Features").

The TOS define the rights and obligations of the parties in the context of subscribing to and using paid Subscriptions offered on the Platform.

The TOS are accessible and printable at any time via a direct link at the bottom of the Platform pages.

2. Application of the TOS

The TOS prevail over any other general or specific conditions not expressly approved by AEGIS TECHNOLOGIES.

The fact that AEGIS TECHNOLOGIES does not invoke any of the provisions of the TOS at a given time shall not be interpreted as a waiver of the right to invoke any of said provisions at a later date.

These TOS are applicable jointly with the Terms of Use (TOU) of the Platform. In the event of a contradiction between the TOS and the TOU, the TOS shall prevail for matters relating to paid Subscriptions.

3. Legal capacity and acceptance of the TOS

Subscribing to a Subscription is reserved for natural persons aged eighteen (18) years or older with full legal capacity to enter into contracts, as well as legal entities acting through a legal representative or duly authorized person.

Acceptance of the TOS by the Subscriber is evidenced by a checkbox during the ordering process. This acceptance can only be full and complete. Any conditional acceptance is considered null and void. A Subscriber who does not accept to be bound by the TOS may not subscribe to a Subscription.

The Subscriber acknowledges having read and understood these TOS and accepts them without reservation before subscribing.

4. Platform accessibility

The Platform is accessible online at https://hubfeed.io.

The Subscriber is responsible for their computer equipment and Internet connection necessary to access and use the Platform. Connection and equipment costs are borne exclusively by the Subscriber.

5. Subscription characteristics

The Subscriptions offered are presented on the Platform's pricing page, accessible at https://hubfeed.io/pricing. Each Subscription provides access to a defined level of Features.

AEGIS TECHNOLOGIES offers several Subscription plans, the detailed characteristics of which (included Features, usage limits, data volume, number of sources, etc.) are described on the Platform.

The Subscriber is invited to review all the characteristics of each Subscription before subscribing. The descriptions of Subscriptions on the Platform are authoritative.

AEGIS TECHNOLOGIES reserves the right to modify the characteristics of Subscriptions at any time. Any modification will be notified to the concerned Subscribers by email at least thirty (30) days before it takes effect.

6. Ordering

6.1. Ordering process

To subscribe, the Subscriber must:

1. Have an Account on the Platform in accordance with the TOU;
2. Select the desired Subscription plan;
3. Provide the required billing information;
4. Read and accept these TOS;
5. Confirm the order and proceed with payment.

The order is considered validated upon confirmation of payment by the payment service provider.

6.2. Order confirmation

An order confirmation email is sent to the Subscriber at the email address provided in their Account. This email summarizes the characteristics of the Subscription taken out, its price, and the payment terms.

The Subscriber is invited to keep this confirmation email.

7. Right of withdrawal

7.1. For Individual Subscribers (consumers)

In accordance with Articles L.221-18 et seq. of the French Consumer Code (Code de la consommation), the Individual Subscriber has a period of fourteen (14) calendar days from the date of subscribing to exercise their right of withdrawal, without having to provide reasons or pay penalties.

To exercise this right of withdrawal, the Individual Subscriber must notify their withdrawal decision by means of an unambiguous statement, sent to AEGIS TECHNOLOGIES by email at legal@hubfeed.io or by post to 12 rue de la Part Dieu - 69003 Lyon. The Subscriber may use the withdrawal form appended to these TOS.

Upon exercise of the right of withdrawal, AEGIS TECHNOLOGIES will reimburse the Individual Subscriber for all amounts paid, within fourteen (14) days of receiving the withdrawal notification, using the same payment method used by the Individual Subscriber for the initial transaction, unless the Subscriber expressly agrees to a different reimbursement method.

7.2. Exception to the right of withdrawal

In accordance with Article L.221-28 of the French Consumer Code, the right of withdrawal cannot be exercised if the performance of the Subscription has commenced, with the express agreement of the Individual Subscriber, before the end of the withdrawal period and if the Individual Subscriber has expressly waived their right of withdrawal.

7.3. For Professional Subscribers

Professional Subscribers do not benefit from the right of withdrawal.

8. Prices and payment terms

8.1. Prices

Subscription prices are indicated in euros and inclusive of all taxes (TTC - toutes taxes comprises). They are displayed on the Platform's pricing page.

AEGIS TECHNOLOGIES reserves the right to modify its prices at any time. The applicable prices are those in effect at the time the Subscriber validates the order. Any price change will be communicated to the Subscriber at least thirty (30) days before the start of the next renewal period.

8.2. Payment terms

Payment for the Subscription is made by bank card via the secure payment service provider Stripe.

Payment is due at the time of subscribing, then at each renewal date.

The Subscriber authorizes the automatic debit of the Subscription amount from the registered payment method at each renewal due date.

8.3. Payment default

In the event of payment default at the due date, AEGIS TECHNOLOGIES reserves the right to suspend the Subscriber's access to paid Features until the situation is resolved.

In the event of non-payment within seven (7) days following a reminder by email, AEGIS TECHNOLOGIES reserves the right to terminate the Subscription as of right.

For Professional Subscribers, any amount unpaid at its due date shall bear late payment interest at the rate provided for in Article L.441-10 of the French Commercial Code (Code de commerce), i.e., three times the legal interest rate in force, as well as a fixed indemnity of forty (40) euros for collection costs, in accordance with Article D.441-5 of the French Commercial Code.

8.4. Invoicing

An invoice is issued and made available to the Subscriber in their Personal Space with each payment. The Subscriber may download their invoices at any time from their Personal Space.

9. Subscription activation

The Subscription is activated upon confirmation of payment. The Subscriber immediately gains access to the Features corresponding to the subscribed plan.

AEGIS TECHNOLOGIES notifies the Subscription activation by email.

10. Platform maintenance

AEGIS TECHNOLOGIES shall take it upon itself to carry out corrective and evolutionary maintenance interventions in a manner that does not prevent or hinder access to the Platform.

Access to the Platform may be temporarily suspended due to maintenance interventions necessary for the proper functioning of the Platform. AEGIS TECHNOLOGIES will endeavor to inform Subscribers prior to any scheduled maintenance.

Maintenance operations do not give rise to compensation for the Subscriber and do not suspend the Subscription.

11. Subscription duration

11.1. Initial term

The Subscription is taken out for an initial term corresponding to the periodicity chosen by the Subscriber at the time of subscribing (monthly or annual), as specified at the time of ordering.

11.2. Renewal

Unless terminated by the Subscriber under the conditions set out below, the Subscription is tacitly renewed for a period identical to the initial term, at the price in effect at the time of renewal.

AEGIS TECHNOLOGIES informs the Subscriber, by email, of the renewal date of their Subscription at least thirty (30) days before said date.

11.3. Termination by the Subscriber

The Subscriber may terminate their Subscription at any time from their Personal Space or by email at legal@hubfeed.io.

Termination takes effect at the expiration of the current Subscription period. The Subscriber retains access to paid Features until that date.

No pro rata refund will be made for the remaining period of the current Subscription, except in the case of exercising the right of withdrawal under the conditions set out in Article 7.

12. Suspension and deletion of access

12.1. Suspension of access

AEGIS TECHNOLOGIES may suspend the Subscriber's access to paid Features in the event of a breach by the Subscriber of any of their obligations under these TOS or the TOU.

The Subscriber will be informed by email of the reasons for the suspension and the corrective measures to be taken.

12.2. Deletion of access

In the event of a serious or repeated breach by the Subscriber of their obligations under the TOS or the TOU, AEGIS TECHNOLOGIES may delete the Subscriber's access to the Features, fourteen (14) days after a formal notice by email that has remained unsuccessful.

Deletion may be immediate and without notice in the following cases:

• The Subscriber seriously, severely, or repeatedly breaches their obligations and the breach is not capable of being remedied or is not remedied within fourteen (14) days of notification;
• AEGIS TECHNOLOGIES is bound by a legal or regulatory obligation to delete the Subscriber's account;
• Payment default not resolved within the period provided for in Article 8.3.

In the event of deletion of access due to the Subscriber's fault, no refund will be made.

13. Mutual obligations

13.1. Obligations of AEGIS TECHNOLOGIES

AEGIS TECHNOLOGIES undertakes to:

• Provide the Subscriber with access to the Features corresponding to the subscribed Subscription;
• Ensure the maintenance and proper functioning of the Platform under the conditions set out herein;
• Inform the Subscriber of any modification to the TOS within the specified time frames;
• Process the Subscriber's personal data in accordance with applicable regulations and the privacy policy.

13.2. Obligations of the Subscriber

The Subscriber undertakes to:

• Provide accurate and up-to-date information when subscribing and throughout the duration of the Subscription;
• Pay the Subscription price at the agreed due dates;
• Use the Platform and Features in accordance with the TOU and TOS;
• Not allow a third party to use their Account;
• Respect the intellectual property rights of AEGIS TECHNOLOGIES.

14. Conditions of access to the Platform

The Platform is accessible to all Subscribers in principle 24/7, except for interruptions, scheduled or otherwise, by AEGIS TECHNOLOGIES or its service providers, for maintenance and/or security purposes, or in cases of force majeure or Platform updates. AEGIS TECHNOLOGIES cannot be held liable for any damage of any nature resulting from the unavailability of the Platform.

AEGIS TECHNOLOGIES does not guarantee that the Platform will be free of anomalies, errors, or bugs, or that the Platform will operate without failure or interruption.

Every Subscriber declares that they are informed that, in order to access the Platform, they must have Internet access, subscribed via a subscription with the provider of their choice, the cost of which is at their expense.

15. Platform availability

AEGIS TECHNOLOGIES undertakes to use all means at its disposal to maintain the availability of the Platform.

However, access to the Platform may be interrupted at the initiative of AEGIS TECHNOLOGIES or its service providers responsible for the implementation and hosting of the Platform for maintenance reasons or any other technical reason. In these specific cases of interruption, AEGIS TECHNOLOGIES will endeavor to inform the Subscriber in advance and to limit the duration of the interruption.

AEGIS TECHNOLOGIES also reserves the right to interrupt access to the Platform, without incurring any liability, in particular:

• in the event of an attack on the Platform (viruses, malicious intrusions, etc.) likely to affect the capacity, security, and integrity of the processing or data;
• in the event of a request for suspension or restriction of access to the Platform made by an administrative or judicial authority or a formal notice from a third party.

16. Intellectual property

Any use, reproduction, copying, or distribution of one or more elements of the Platform for purposes other than private use is prohibited. It is specified that for Professional Subscribers, private use means any use internal to the Subscriber's legal entity.

All content and Features of the Platform, including but not limited to the domain name, texts, graphic charter, graphics, photographs, drawings, sounds, images, audio and video, as well as the site architecture, navigation plan, design and organization of its sections, their titles, existing or future, are protected by intellectual property rights held or claimed by AEGIS TECHNOLOGIES.

AEGIS TECHNOLOGIES grants the Subscriber a non-exclusive, personal, and non-transferable right to use the Platform and Features for their sole needs, for the duration of the Subscription. This grant of rights does not entail the transfer of any intellectual property rights to the Subscriber.

17. Subscriber conduct

The Subscriber declares and acknowledges that all information, data, texts, messages, or any other content that they publish on the Platform (hereinafter, the "Contributions") is published under their full and sole responsibility.

The Subscriber undertakes not to publish Contributions that are contrary to applicable laws and regulations.

In particular, the Subscriber shall refrain from:

• disseminating information contrary to public order or morality;
• diverting the purpose of the Platform for propaganda or proselytism, solicitation, or canvassing;
• disseminating Contributions that infringe on the personality rights of third parties or that are defamatory, insulting, obscene, pornographic, offensive, violent, or incite discrimination;
• harassing in any way one or more other Subscribers or Users;
• fraudulently accessing the Platform;
• transmitting any message containing computer viruses or any other malicious code;
• infringing on the intellectual property rights of third parties.

The Subscriber undertakes, where applicable, to indemnify AEGIS TECHNOLOGIES for any loss directly or indirectly related to the failure to comply with these obligations.

18. Obligations and liability of AEGIS TECHNOLOGIES

18.1. Nature of the obligation

AEGIS TECHNOLOGIES is bound by an obligation of means (obligation de moyens) in the context of providing the Platform Features.

18.2. Limitation of liability

AEGIS TECHNOLOGIES shall not be held liable in the event of non-performance or poor performance of the Subscription due to the fault of the Subscriber, the unforeseeable and insurmountable act of a third party, or a case of force majeure.

In any event, the liability of AEGIS TECHNOLOGIES under the Subscription is limited to the amounts actually paid by the Subscriber for the Subscription during the twelve (12) preceding months.

AEGIS TECHNOLOGIES shall not be held liable for indirect damages, such as data loss, financial loss, loss of revenue, loss of orders, loss of profits, loss of clients, loss of opportunity, cost of obtaining a substitute service, or any other indirect loss.

18.3. Force majeure

AEGIS TECHNOLOGIES shall not be held liable for any failure to perform its obligations in the event of a force majeure event within the meaning of Article 1218 of the French Civil Code (Code civil), including in particular natural disasters, cyberattacks, third-party network failures, or administrative or judicial decisions.

19. Confidentiality

Each party undertakes to keep confidential all information and documents concerning the other party, of whatever nature, to which it may have had access during the contractual relationship.

This confidentiality obligation shall survive the termination or expiration of the Subscription.

20. Personal data

When the Subscriber takes out a Subscription, their personal data is collected and processed by AEGIS TECHNOLOGIES in accordance with applicable data protection regulations and under the conditions described in the privacy policy.

The Subscriber has the right to access, rectify, erase, restrict, port, and object to the processing of their personal data, which they may exercise by contacting AEGIS TECHNOLOGIES at legal@hubfeed.io.

21. Telephone solicitation opt-out list

Individual Subscribers have the option of registering free of charge on the BLOCTEL telephone solicitation opt-out list (https://www.bloctel.gouv.fr/) in order to no longer be solicited by telephone by a professional with whom they do not have an ongoing contractual relationship, in accordance with Law No. 2014-344 of March 17, 2014 relating to consumer affairs.

22. Advertising

AEGIS TECHNOLOGIES reserves the right to insert on any page of the Platform and in any communication any advertising or promotional messages in a form and under conditions of which AEGIS TECHNOLOGIES shall be the sole judge.

23. Hyperlinks and third-party sites

AEGIS TECHNOLOGIES cannot under any circumstances be held liable for the technical availability of websites or mobile applications operated by third parties that the Subscriber may access via hyperlinks on the Platform.

AEGIS TECHNOLOGIES assumes no responsibility for the content, advertising, products, and/or services available on such third-party websites and mobile applications.

24. Modifications

AEGIS TECHNOLOGIES reserves the right to modify these TOS at any time. Modifications will be notified to Subscribers by email at least thirty (30) days before they take effect.

A Subscriber who does not accept the new TOS must terminate their Subscription before the modifications take effect. Failing this, the Subscriber shall be deemed to have accepted the new TOS.

25. Language

These TOS are drafted in French. In the event of translation, the French version shall prevail.

26. Subcontracting

AEGIS TECHNOLOGIES reserves the right to use subcontractors for the performance of all or part of the services provided for in these TOS. AEGIS TECHNOLOGIES remains liable to the Subscriber for the proper performance of subcontracted services.

27. Severability - Non-waiver

The invalidity of a clause of these TOS does not render the other clauses invalid. The temporary or permanent non-application of one or more clauses of the TOS by AEGIS TECHNOLOGIES shall not constitute a waiver of the other clauses of the TOS, which shall continue to have effect.

28. Mediation for Individual Subscribers

In accordance with Articles L.611-1 et seq. of the French Consumer Code (Code de la consommation), the Individual Subscriber is informed that they may use a consumer mediator free of charge for the amicable resolution of any dispute with AEGIS TECHNOLOGIES.

The Individual Subscriber may also use the online dispute resolution platform set up by the European Commission, accessible at: https://ec.europa.eu/consumers/odr.

In any event, the Individual Subscriber is invited to first contact AEGIS TECHNOLOGIES at legal@hubfeed.io to attempt to resolve the dispute amicably.

29. Applicable law

These TOS are governed by French law.

30. Jurisdiction

In the event of a dispute relating to the interpretation or performance of these TOS:

• For Individual Subscribers: the competent courts are those of the Subscriber's place of residence or, at the Subscriber's option, the place of the registered office of AEGIS TECHNOLOGIES, in accordance with the provisions of the French Consumer Code;
• For Professional Subscribers: any dispute shall be subject to the exclusive jurisdiction of the courts within the jurisdiction of the registered office of AEGIS TECHNOLOGIES, namely the courts of Lyon.
